These Terms govern your use of Dealybee. By signing in, you agree to them. If you do not agree, do not use Dealybee.

1. What Dealybee is

Dealybee is the AI transaction layer for buying and selling across marketplaces. We provide tools for identifying items, searching across marketplaces, negotiating, holding funds in escrow during a transaction, mediating disputes, and computing a portable reputation score.

Dealybee is not a marketplace operator. We do not own, sell, ship, or guarantee any item. Items are sold by users, to users. Dealybee facilitates the transaction.

2. Eligibility

You must be at least 18 years old, legally able to enter contracts, and not barred from using Dealybee under applicable law. By using Dealybee you represent that you meet these requirements.

We may refuse service, suspend accounts, or terminate accounts at our discretion (with cause where required by law).

3. Your account

  • You are responsible for the security of your account. Do not share your sign-in link with anyone.
  • Notify us at [email protected] if you suspect unauthorized access.
  • You may delete your account at any time. Some data is retained as required by law (see Privacy Policy).

4. Fees

  • Buyers pay no fee to use Dealybee.
  • Sellers pay no fee on sales below $100.
  • Sellers pay 1% of the agreed sale price on sales of $100 or more, capped at $500 per transaction.

Fees are locked at the moment a buyer and seller agree on a price. We do not retroactively change a fee on a transaction once it is agreed.

Payment-processor fees (charged by our regulated third-party payment processor) are separate and disclosed at checkout.

5. Escrow

When a buyer and seller agree on a price, the buyer's funds are held in escrow by a regulated third-party payment processor while the transaction is in progress. Funds are released to the seller when the buyer confirms delivery, or after a mediated outcome if a dispute is opened.

Dealybee does not hold buyer funds directly. Dealybee is not a bank, broker, or money transmitter; the payment processor is the financial institution of record.

6. Disputes

If something goes wrong, either party may open a dispute on the transaction page. Both parties submit evidence (notes, photos). A Dealybee moderator reviews and issues one of three outcomes:

  • Buyer wins — full refund
  • Seller wins — escrow released to the seller
  • Split — partial refund and partial release

Both parties' Dealybee Scores are recalculated based on the outcome and history. Decisions are final unless new evidence emerges within 14 days.

7. Refunds and cancellations

  • Before escrow funds are taken: Either party may cancel without penalty.
  • After escrow but before the seller ships: Buyer may request a full refund. Any non-refundable payment-processor fees are subtracted.
  • After the seller ships: Disputes only. No unilateral cancellation.
  • After the buyer confirms delivery: The transaction is final, except via dispute reopened on the basis of fraud or material misrepresentation, within 14 days.

8. Acceptable use

Your use of Dealybee is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in warnings, suspension, or permanent termination of your account, depending on severity.

9. Your content

You retain ownership of the content you submit (listing copy, photos, messages). By submitting content, you grant Dealybee a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and process the content (including with AI tools) for the purpose of operating the service. The license ends when you delete the content, except as needed to retain transaction records.

You represent that you have the rights to the content you submit and that it does not infringe anyone else's rights.

10. Suspension and termination

We may suspend or terminate your account if you violate these Terms, the Acceptable Use Policy, applicable law, or if your activity poses a safety, fraud, or operational risk. Where possible we give notice and an opportunity to cure. For severe violations (fraud, illegal items, harassment) we may terminate immediately.

You may close your account at any time at [email protected]. Closure does not relieve you of obligations for transactions in progress.

11. Disclaimers

Dealybee is provided "as is" and "as available." We disclaim all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • Dealybee does not warrant the accuracy of AI-generated valuations, listing copy, or identifications. These are estimates, not advice.
  • Dealybee does not warrant the authenticity, condition, legality, or quality of any item listed by a user.
  • Dealybee does not warrant that the service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law, Dealybee, its officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of your use of the service.

Our total liability for any claim related to the service is limited to the greater of (a) the fees you paid to Dealybee in the 12 months before the claim, or (b) USD $100.

This limitation does not apply where prohibited by law, including in the case of our gross negligence or willful misconduct.

13. Indemnification

You agree to indemnify and hold Dealybee harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the service, your content, or your violation of these Terms or applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.

Any dispute between you and Dealybee that cannot be resolved informally will be resolved by binding individual arbitration under the rules of the American Arbitration Association, in Delaware or another location both parties agree to. You and Dealybee waive the right to participate in a class action. Either party may bring small-claims actions in court.

If any provision of this section is found unenforceable, the rest remains in effect.

15. Modifications

We may update these Terms from time to time. If we make material changes, we will email registered users at least 30 days before the changes take effect and post the new version with an updated date. Continued use after the effective date means you accept the updated Terms.

16. General

  • Entire agreement. These Terms (plus the Privacy Policy and Acceptable Use Policy) are the entire agreement between you and Dealybee about the service.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, sale, or reorganization.
